How-to: Change the statutes

You can find the current Version of the statutes in text Form in text Form here. The only version of the statutes that are legally binding are in German.

There's two ways to change the statutes:

1. If the Finanzamt or Court demands it (See § 10 Salvatorische Klausel)
2. Via the general assembly (See § 7 Mitgliederversammlung and § 8 Ergänzende Dokumente)

If you want to change the statutes of pub.solar e.V. you'll need to follow the following steps:

1. Create a new version of the text
2. Propose changes to the text to the next general assembly
3. Win enough votes from the assembly
4. The Vorstand goes to the notary

1. Create a new version of the text

You can edit the text in the browser or locally via git. After you've made the changes, you'll have to propose them to be accepted by opening a merge request (or "pull request").

In the git repository, click on "Fork" on the top right of your screen, then confirm "Fork repository". This will create a copy of the pub.solar e.V. legal files in your own account.

You can then find the file satzung.md, and open it. Click on the edit icon to open the browser-based editor.

Make your changes to the document.

To save, scroll down to the "Commit changes" section.

Give your change a title that the describes the change in short. In the description, explain why you want this change.

Select "Create a new branch for this commit and start a pull request".

Click "Commit changes".

You're going to be shown your changes when compared to the original. Review whether they're correct, and then in dropdown for "merge into:", select `pub-solar:main`.

Click "New pull request", and then "Create pull request".

Congratulations, you've successfully opened a pull request!

It's good to show a lot of people your proposal at this point to get some feedback.

2. Propose changes to the next general assembly

Contact the Vorstand and tell them you want to change the statutes at the next general assembly. They will have to put the item on the agenda in the invite.

3. Win enough votes at the assembly

For changes except in § 2, the normal voting rules for the general assembly apply. (See § 7 Mitgliederversammlung)

By German law, for changes to § 2 Zweck des Vereins every member of the association will be needed to give an okay. So you will need not just a consensus at the assembly, but also to track down every member that was not at the assembly and get their signed thumbs-up.

4. The Vorstand goes to the notary

The new vorstand will have to hand over the following:

1. The text of the invitation to the general assembly
2. The text of the protocol of the assembly
3. If needed, the signed okays of all people that were not available at the assembly.
4. The new text of the statutes

After some time, the notary will confirm that the changes have taken effect.
